Digital Creative Asset Purchase Agreement

This agreement defines the terms under which finished digital creative assets are purchased by the Client (‘Shubham') from the Designer.
1. Nature of This Agreement
This agreement represents the purchase of completed digital creative assets. The Designer provides final, ready-to-use digital designs as commercial assets.
This is not an employment arrangement, consulting service, or ongoing support contract. Upon completion and payment, ownership of the final delivered assets is transferred to the Client as defined below.

2. Comprehensive Brand Identity & Strategy Package The Client (an aluminium profile startup) will receive a full-scale brand development and identity system. Deliverables include:
Visual Branding Strategy: Brand core, brand story, competitor analysis, brand personality, tone of voice, and Unique Selling Proposition (USP).
Naming & Tagline: Creation of the official Brand Name and Tagline.
Identity Design: Primary and secondary logo design, color palette, typography system, brand mark, monogram, brand pattern & custom illustrations
Packaging & Print Design (Digital Files Only): Packaging designs, business cards, company deck, catalogue, apparel (t-shirts/uniforms) Design of prints, caps, hoardings, flyers, letterheads, invoices, diaries, mugs, mouse pads, envelopes, and wrapping paper. (Note: All print deliverables are provided as print-ready digital files; physical printing and manufacturing costs are the sole responsibility of the Client).
Digital Design Suite: Social media starter plan - 3-5 Social Media Designs, LinkedIn banner, email signatures, festive greetings, email marketing templates, and presentation templates.
Creative Direction: Creative and Art Direction guidelines for future photo shoots.
Brand Master Guidelines: A comprehensive document detailing logo usage, typography rules, tone of voice, brand imagery, and social media guidelines.

3. Website Design Digital Asset Package
The website will be fully designed and built in Framer, responsive for desktop and mobile, and designed with clean UI/UX principles. Content is structured in an SEO-optimized layout. Website deliverables include a complete Framer project, responsive layouts, and final exported design assets. All website-related deliverables are digital creative assets only. Maximum 10 page, for additional page cost maybe applicable
4. File Formats & Digital Delivery
Final deliverables may include PNG, JPG, SVG, and editable project files where applicable. All assets are delivered digitally after completion and payment clearance.

Project Duration: February 28, 2026 - March 29,2026. May Extend if necessary to accomplish goals.
This timeline represents the planned delivery window, requiring timely feedback and approvals from the Client. Delays in feedback may adjust the timeline. Engagement from client side is expected, if delay is more project can be dismissed.
Revisions and Payment
6. Revisions
This purchase includes limited revisions within the agreed scope. Excluded: major concept changes after approval, new design directions, additional features, pages, or assets. Additional requests require a separate purchase.
7. Payment Terms
Total Cost: ₹1,05,000 INR
• ₹52,500 INR payable upon Brand Identity finalization before handoff
• Remaining balance after website completion and before final handoff
No advance required. Final files delivered only after full payment. Payment delays may pause delivery.
The Designer may display the work for self-promotion (portfolios, case studies, social media) without sharing confidential or sensitive information.

9. What Is Not Included
No domain or hosting purchase, website deployment or management, ongoing maintenance, marketing execution, or SEO services beyond content structuring. Additional requirements require a separate agreement.
10. Limitation of Responsibility
The Designer is not responsible for third-party platforms or tools, hosting, domain or deployment issues, improper use of files, or loss after delivery. This agreement strictly covers digital creative asset delivery.
