Revise Tax Brand & Website Digital Creative Asset Purchase Agreement

This agreement defines the terms under which finished digital creative assets and an e-commerce website are purchased by the Client (“Furnix Studios”) from the Designer.
1. Nature of This Agreement
This agreement represents the purchase of completed digital creative assets and a fully built e-commerce website.
The Designer delivers final digital designs and platform setup as creative assets. This is not an employment arrangement, consulting service, or ongoing support contract. Ownership of final delivered assets is transferred upon full payment as defined below.

The Client will receive a complete brand identity system, including:
• Logo Design
• Brand Color System
• Typography System
• 25-Page Brand Guidelines Document
• Letterhead Design
• Business Card Design
• Employee ID Card Design
All brand items are delivered as finalized digital designs.

3. E-commerce Website Package (Shopify)
The website will be:
• Fully designed and built on Shopify
• End-to-end e-commerce setup
• Desktop, tablet, and mobile responsive
Included functionality:
• Customer-facing storefront
• Payment gateway integration
• Delivery/shipping integration
• Inventory tracking system
• Product, collection, and checkout setup
All website deliverables are digital-only.
4. File Formats & Digital Delivery
Final deliverables may include:
• PNG
• JPG
• SVG
• Editable project files where applicable
All assets and website access are delivered digitally after payment clearance.

• The project includes design + setup as defined above
• Timely feedback from the Client is required to maintain progress
• Additional features outside this scope require a separate agreement

6. Revisions
This purchase includes revisions within the agreed scope.
Revisions do not include:
• Major redesigns after approval
• New features or platform changes
• Scope expansion
Any additional work requires a separate purchase.
7. Payment Terms
Total Project Cost: ₹55,000 INR
(Includes Brand Identity and Shopify E-commerce Website)
Payment Structure:
• ₹20,000 INR payable upon Brand Identity finalization
• Remaining balance payable before final website handoff
Important Conditions:
• No advance payment is required before work begins
• Website access, credentials, and final files are handed over only after full payment
• Delays in payment may pause delivery.
8. Portfolio Usage
The Designer may showcase the project in:
• Portfolio
• Case studies
• Social media
No confidential business information will be disclosed.

9. What Is Not Included
This agreement does not include:
• Paid apps or third-party subscriptions
• Ongoing store management
• Marketing or ad campaign execution
• Future feature updates
Any such requirements require a separate agreement.
10. Limitation of Responsibility
The Designer is not responsible for:
• Shopify platform limitations
• Third-party payment or delivery service issues
• Operational or business performance
This agreement strictly covers digital creative asset delivery and setup.
11. Cancellation
• If the Client cancels after brand finalization, payments made are non-refundable
• If the Designer cancels before delivery, any received payment will be refunded
12. Complete Agreement
This document represents the complete understanding between both parties. Any changes must be agreed upon in writing.

By acknowledging this agreement via email, the Client confirms acceptance of the above terms.
