1. Nature of This Agreement
This agreement represents the purchase of completed digital creative assets. The Designer provides final, ready-to-use digital designs as commercial assets.
This is not an employment arrangement, consulting service, or ongoing support contract. Upon completion and payment, ownership of the final delivered assets is transferred to the Client as defined below.
Logo design, typography selection, and custom color palette development. A comprehensive 20-page digital brand guideline document explaining usage and structure. Social media template files and structural layout design. Menu design, Business Card design, and Employee ID Card design. Custom illustration design, merchandise design concepts, and accompanying merch stickers. Custom Iconography set (Up to 10 icons, e.g., parking, amenities, etc.).
3. Complimentary Website Asset (Gift)
As a special addition to this brand package, the client will receive a complimentary digital experience designed to make the brand stand out: One-page Framer website featuring high-end motion design and brand history. QR code integration mapped for the physical menu, allowing customers to scan and instantly view the brand's digital story and manufacturing/origin details.
4. File Formats & Digital Deliverables
All final assets will be delivered in standard, ready-to-use digital formats, including PNG, JPG, and editable project files (SVG/Vector), ensuring full usability for the client.
5. Timeline & Progression
The project operates on a structured progression. Brand Identity & Collateral Design: April 11, 2026 – April 24, 2026. Complimentary Website Design & Development: April 25, 2026 – April 30, 2026. Note: These dates may be extended depending on the flexibility required for client feedback and approvals. Proper and timely feedback is expected to maintain this schedule.
6. Revisions & Modifications
This purchase includes standard revisions to ensure the assets meet the agreed-upon vision. There is no additional repayment required for these standard revisions. However, if there are major conceptual changes or new additions requested after a phase has been approved, extra payment will be required.
7. Payment Terms & Schedule
The total project cost is ₹48,000 INR. There is no advance payment required to initiate the project. Payments are tied strictly to the completion and handover of the digital assets: Project Finalization (₹48,000): Payable in full once all brand assets and the complimentary website are completed. Payment must be cleared before the final files, assets, and website are handed off or deployed. Invoicing Requirement: Will Provide PAN and Aadhaar details during Invoice.
8. What is Not Included
This agreement does not include domain or hosting purchases, ongoing website management, ongoing maintenance, or marketing executions. If any additional assets or ongoing services are required later, a separate agreement will be drafted.
9. Limitation of Responsibility
The designer is strictly responsible for the delivery of the digital creative assets. The designer is not responsible for third-party platforms or tools, hosting, domain, or deployment issues, improper use of the files, or loss of files after delivery.
10. Complete Agreement & Acceptance
Please acknowledge this agreement by replying to this email with the word "Acknowledged". Once acknowledged, the terms are considered accepted, and work will commence on April 11, 2026.
