This agreement defines the terms under which finished digital creative assets are purchased by the Client (‘Aarve Solar & Aarve Lifts') from the Designer.
1. Nature of This Agreement
This agreement represents the purchase of completed digital creative assets. The Designer provides final, ready-to-use digital designs as commercial assets.
This is not an employment arrangement, consulting service, or ongoing support contract. Upon completion and payment, ownership of the final delivered assets is transferred to the Client as defined below.
Two logo revamps for Brand A (Solar products) and Brand B (Lift products).
Two 20-page digital brand guideline documents, one for each brand.
Deliverables within guidelines include custom Typography, color palettes, and layout logic.
Creation of custom brand illustration styles and photography styles for both entities max upto 10
Print-ready business collateral for both brands (Letterhead, Business Card, ID Card designs).
Product-specific roll label and stickers for the lift products.
Component C: Website Assets Included
The client will receive one website which houses both brand entities (Aarve Solar and Aarve Lifts).
Deliverables include:
A authored design system with clear pathways for both Solar and Lift product categories.
Up to 10 structured pages, including dedicated project/case study pages, detailed product specification pages for both product lines.
Multiple enquiry form setups tailored to different customer needs.
4. File Formats & Digital Deliverables
All final assets will be delivered in standard, ready-to-use digital formats, including PNG, JPG, and editable project files (SVG/Vector), ensuring full usability for the client.
5. Timeline & Progression
The project operates on a structured, component-based progression, with the website phase (Component C) beginning only once both brand systems
(Components A & B) are finalized.
Timeline & Phases: Component A (Solar Brand System): April 11, 2026 – April 20, 2026. Component B (Lifts Brand System): April 11, 2026 – April 20, 2026.
Component C (Website Design & Development): April 21, 2026 – May 5, 2026. Note: These dates are flexible based on client feedback and approvals. Proper and timely feedback is expected to maintain this schedule.
6. Revisions & Modifications
This purchase includes standard revisions to ensure the assets meet the agreed-upon vision. There is no additional repayment required for these standard revisions. However, if there are major conceptual changes or new additions requested after a phase has been approved, extra payment will be required.
7. Payment Terms & Schedule
The total project cost is ₹85,000 INR. There is no advance payment required to initiate the project. Payments are tied to the completion and handover of digital assets for each specific component:
Component A (Solar Brand) (₹20,000): Payable in full once the final brand assets for Solar are completed and handoff is ready.
Component B (Lifts Brand) (₹20,000): Payable in full once the final brand assets for Lifts are completed and handoff is ready.
Component C (Website Phase) (₹45,000): Payable in full once the website is completed, before the final website handoff and deployment.
Invoicing Requirement: Will Provide PAN and Aadhaar details during Invoice.
8. What is Not Included
This agreement does not include domain or hosting purchases, ongoing website management, ongoing maintenance, or marketing executions. If any additional assets or ongoing services are required later, a separate agreement will be drafted.
9. Limitation of Responsibility
The designer is strictly responsible for the delivery of the digital creative assets. The designer is not responsible for third-party platforms or tools, hosting, domain, or deployment issues, improper use of the files, or loss of files after delivery.
10. Complete Agreement & Acceptance
Please acknowledge this agreement by replying to this email with the word "Acknowledged". Once acknowledged, the terms are considered accepted, and work will commence on April 11, 2026.
